BUSINESS-RELATED CRIMINAL MATTERS

When a business problem carries criminal risk.

Begin by separating the company’s position from the positions of its directors, employees, shareholders and counterparties.

MATTERS WITHIN THE PRACTICE

Follow the transaction, the money and the individual role.

A disputed payment or an internal policy breach does not, by itself, answer the question of criminal liability. The conduct, purpose, authority, evidence and applicable offence all matter.

Bribery and related allegations

Payments, commissions, intermediaries and benefits involving company personnel or public officials.

Company funds and property

Allegations concerning misappropriation, embezzlement or the treatment of company assets.

Business disputes with criminal allegations

Questions involving contracts, fraud allegations, business records or frozen property linked to a criminal matter.

POTENTIAL WORK

Define the client.
Then define the task.

An initial assessment can clarify the procedural stage, whose interests are involved and which records need review. Further work may involve criminal defence, legal analysis of documents or advice about an investigation response, subject to a specific engagement.

A company and an individual executive may have different or conflicting interests. Paying the fee does not automatically entitle a company or shareholder to receive another client’s confidential information.

Where overseas counsel is involved, the division of responsibility, permitted information sharing and any translation need to be agreed. This practice concerns mainland Chinese law.

Before sending documents

Keep original records, including contracts, payment records and messages. In the first enquiry, describe the type of matter and the current procedural step. The documents required and the method of sharing them will be confirmed separately.

A useful first question

“A manager in our China business has received a notice. We need to understand their position and whether the company requires separate advice.”
